OptiCon Negotiates Acquisition of its Hybrid Network Management System

OptiCon (OPCN) to Resume Negotiations to Sell Its World Class Hybrid Network Management System, OptiCon R4 PowerCon Energy Systems Receives Interest

OptiCon Systems, Inc., a leading global provider of communications and telecommunications software for Wireline, Wireless and fiber optics, announced today that it has resumed its negotiation to spin-off (sell) its Hybrid Network Management System, OptiCon R4, with interested party(s). As we have pointed out in the previous PR release, the Company received a purchase offer in the high eight figures for its Hybrid Network Management System, OptiCon R4. We then rejected the offer as the Company believed that it did not reflect more accurately to the true value of OptiCon R4.

The Company believes that the potential marketplace for its next generation OptiCon R4 is in $40 to $60 billion dollars by 2010, with due consideration for the pedigree, the name, its world class architecture and other applicable and developable platforms such as PowerCon. We are in the process of working with a third party valuation firm to form a concrete valuation model which should be available shortly. This valuation model, for our OptiCon R4 asset, will be used as a base for our negotiations with the interested buyer(s).

In addition, these are other corporate updates:

1- PowerCon will be spun off as soon as we receive clearance from the state   of Nevada, for a possible sale or a public offering per our previous   released PR.

2- We have contracted a world class developer to revamp our website. Our   new website should go live within days. We will also have new contact   information for our investors.

3- We are in the process of Opening a satellite office in South Africa as   OptiConSA. This presence will be a prelude to a possible public   offering on Johannesburg Stock Exchange (JSE Securities Exchange).

4- We are in negotiation with two potential partners for possible Joint   Ventures to sell OptiCon Network Manager.

5- OptiCon is in the process of hiring staff to fill positions at the   Company to cover our rapid international growth. Positions may   include: CEO, Chief Operating Officer, VP of Sales, Sales Engineers   and programmers.
